These Terms & Conditions (“Terms”) govern access to and use of Integrate (the “Platform”), a software-as-a-service solution providing AI-powered communication tools, automation, conversational systems, analytics, and related services (the “Services”).

By accessing or using Integrate, you (“Client”, “User”, or “You”) agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.


1. Platform Access & Use

Integrate grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for lawful business purposes, subject to these Terms.

You agree to:

  • Use Integrate only for legitimate business activities

  • Maintain the security of your login credentials

  • Ensure your team members comply with these Terms

You are responsible for all activity that occurs under your account.


2. Services Description

Integrate may include, but is not limited to:

  • AI chat and conversational tools

  • Voice AI and call routing

  • Review automation and engagement tools

  • Lead capture, follow-up workflows, and analytics

  • Integrations with third-party systems

Services may evolve over time. Integrate reserves the right to modify, enhance, or discontinue features without liability.


3. Managed vs. Self-Managed Accounts

Depending on your agreement, Integrate may be:

  • Self-managed by the Client, or

  • Managed by an authorized consulting or agency partner

When managed services are provided, Integrate acts as the software platform only. Strategic decisions, campaign outcomes, and operational use remain the responsibility of the Client.


4. Client Responsibilities

You acknowledge and agree that:

  • You are responsible for the accuracy of data entered into the Platform

  • You must comply with all applicable laws, including communication, privacy, and consumer protection regulations

  • You must obtain consent where required before contacting leads or customers

Integrate is not responsible for how AI responses are interpreted or acted upon by third parties.


5. AI & Automation Disclaimer

AI-driven outputs are automated and informational only.

You acknowledge:

  • AI responses may not be perfect

  • Human oversight is recommended

  • Integrate does not guarantee outcomes, revenue increases, or response accuracy

Integrate is not liable for decisions made based on AI-generated content.


6. Data Ownership

You retain ownership of your data.

By using the Platform, you grant Integrate a limited license to process data solely to:

  • Operate the Platform

  • Deliver contracted services

  • Improve system performance

Integrate does not sell Client data.


7. Third-Party Integrations

Integrate may connect with third-party tools (CRM systems, communication services, review platforms, etc.).

Integrate is not responsible for:

  • Availability or reliability of third-party services

  • Data handling practices of integrated platforms

  • Service interruptions caused by third-party providers

Use of third-party services is subject to their respective terms.


8. Fees & Billing

Fees are outlined in your service agreement or subscription plan.

You agree to:

  • Pay all fees on time

  • Maintain valid billing information

  • Authorize recurring payments where applicable

Failure to pay may result in suspension or termination of access.


9. Acceptable Use Policy

You may not use Integrate to:

  • Send spam, deceptive, or unlawful communications

  • Harass, abuse, or misrepresent information

  • Violate intellectual property rights

  • Interfere with system security or functionality

Violations may result in immediate suspension or termination.


10. Termination

Integrate reserves the right to:

  • Suspend access for violations of these Terms

  • Terminate accounts with reasonable notice for non-payment or misuse

Upon termination:

  • Platform access ends

  • Data may be deleted in accordance with the Privacy Policy


11. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

Integrate makes no warranties regarding:

  • Platform uptime

  • Accuracy of AI-generated content

  • Specific business outcomes

To the fullest extent permitted by law, all warranties are disclaimed.


12. Limitation of Liability

To the maximum extent permitted by law:

  • Integrate is not liable for indirect, incidental, or consequential damages

  • Total liability shall not exceed the amount paid by Client in the prior 12 months


13. Indemnification

You agree to indemnify and hold harmless Integrate from claims arising out of:

  • Your use of the Platform

  • Violations of these Terms

  • Misuse of AI or communication tools


14. Governing Law

These Terms are governed by the laws of the State of TEXAS, without regard to conflict-of-law principles.


15. Modifications

Integrate may update these Terms periodically. Continued use of the Platform constitutes acceptance of updated terms.
